The CSSF has published a dedicated webpage clarifying the new prior notification and approval requirements for material operations by credit institutions and (mixed) financial holding companies, introduced by the Law of 5 May 2026 transposing CRD VI. The webpage details the practical implementation for acquisitions/divestitures of material interests, material transfers of assets and liabilities, and mergers and divisions.

CSSF Updates Cross-Border Management Notification Templates for AIFMD II Transposition
The CSSF has published updated notification letter templates and guidance for Luxembourg-domiciled investment fund managers (IFMs) to reflect changes introduced by AIFMD II, transposed into Luxembourg law on 3 March 2026. CSSF Warning: Fraudulent Use of Winvest International Name
The Luxembourg CSSF has issued a warning about fraudulent activities by unknown persons misusing the name of Winvest International S.C.S., FIAR. Two fraudulent websites (winvest.international and winvest-international.online) are used to impersonate the legitimate entity. The CSSF confirms that Winvest International S.C.S., FIAR is not involved and advises the public to remain vigilant.

CSSF Updates Notification Letter for UCITS Management Companies Cross-Border Activities
The CSSF has released version 4.1 of the notification letter for management companies intending to pursue activities in another Member State under UCITS Directive Article 17(2) or 18(1). The updated form is available in DOCX format and applies to Chapter 15 management companies. Compliance officers should ensure cross-border notifications use the latest template.
